Responsibilities
  • Advising on and ensuring that clients comply with the JSE Listings Requirements, King IV, Companies Act and other relevant legislation.
  • Drafting SENS announcements and ensuring that they are disseminated in line with the JSE Listings Requirements timelines.
  • Reviewing corporate governance reports and annual reports of clients.
  • Keeping abreast of developments in relation to the King Report, JSE Listings Requirements and corporate governance practices in general.
  • Drafting board and shareholder resolutions for clients.
  • Attending general meetings of clients and assisting clients with the drafting of notices of general meetings and the like.
  • Working closely with company secretaries and financial directors to ensure that clients comply with sound corporate governance principles.
  • Reviewing meeting agendas of clients.
  • Providing support to directors regarding all relevant matters, including their duties in relation to corporate governance and compliance and any other training required under the JSE Listings Requirements.
  • Managing relationships and liaising with the company secretaries of clients.
  • Assisting clients with the review of board polices, charters, terms of reference and the delegation of authority frameworks.
Minimum requirements
Beneficial
  • Admitted attorney or chartered accountant
  • 2 years post-qualification experience in the sponsor services division of a corporate finance house or South African bank
  • Experience with the JSE Listings Requirements regarding corporate actions
  • Experience with the Takeover Regulation Panel regarding “affected transactions”
  • JSE approved equity executive
  • JSE approved debt executive
