Advising on and ensuring that clients comply with the JSE Listings Requirements, King IV, Companies Act and other relevant legislation.
Drafting SENS announcements and ensuring that they are disseminated in line with the JSE Listings Requirements timelines.
Reviewing corporate governance reports and annual reports of clients.
Keeping abreast of developments in relation to the King Report, JSE Listings Requirements and corporate governance practices in general.
Drafting board and shareholder resolutions for clients.
Attending general meetings of clients and assisting clients with the drafting of notices of general meetings and the like.
Working closely with company secretaries and financial directors to ensure that clients comply with sound corporate governance principles.
Reviewing meeting agendas of clients.
Providing support to directors regarding all relevant matters, including their duties in relation to corporate governance and compliance and any other training required under the JSE Listings Requirements.
Managing relationships and liaising with the company secretaries of clients.
Assisting clients with the review of board polices, charters, terms of reference and the delegation of authority frameworks.
Minimum requirements
Beneficial
Admitted attorney or chartered accountant
2 years post-qualification experience in the sponsor services division of a corporate finance house or South African bank
Experience with the JSE Listings Requirements regarding corporate actions
Experience with the Takeover Regulation Panel regarding “affected transactions”
