Johan Holtzhausen - Chairman PSG Capital
Johan Holtzhausen

Johan, who is an admitted attorney as well as a JSE approved executive, has been at the forefront of South African dealmaking for the past 24 years. He is well known for his ability to get complex transactions over the line while building lasting relationships in the process. Johan is technically gifted across multiple practice areas and has led and advised on numerous listings, mergers, acquisitions, capital raisings, private equity and BEE transactions, both in South Africa and abroad.

His ability to think outside the box when structuring deals has benefited many of his clients and their respective stakeholders, especially in complex situations. He has originated and led many pioneering JSE transactions over the past two decades including, inter alia, the first JSE fast-track listing and the simultaneous listing of a company on the JSE and the LSE.

Johan has been the driving force in the growth and expansion of PSG Capital for the past 24 years. Due to Johan’s unwavering vision and ability to get the best out of his team, PSG Capital now regularly features in the top 3 of the various categories of DealMakers awards. Before he joined PSG Capital, Johan was appointed by the Minister of Finance as a chairperson of the Special Income Tax Court for Gauteng.

Henning is an admitted attorney (South Africa) and solicitor (England and Wales), as well as a JSE-approved executive. He practiced law for several years in the UK offices of a major international law firm and specialised in commercial property law. Prior to that Henning worked at a Cape Town law firm focusing on litigation and contract law. Before his admission as a South African attorney in 2005, he gained extensive experience in UK insolvency law while employed by the UK Insolvency Service.

Henning has, since joining PSG Capital in 2010, been a key member of the team and has played an important role in the firm’s growth, having been involved in many of the key transactions on which PSG Capital has advised over the past decade. He has significant corporate finance experience, including in relation to new listings, mergers, acquisitions, restructurings, capital raisings, empowerment transactions and regulatory engagement, spanning both the listed and unlisted environment and involving South African and foreign clients.

Mish-al is an admitted attorney and a JSE approved executive. Prior to joining PSG Capital, Mish-al worked in the corporate commercial departments of two of South Africa’s top tier law firms where he focused on mergers and acquisitions of both listed and unlisted companies in a variety of sectors including property development, financial services, retail, oil and gas and agribusiness.
 
Mish-al has extensive corporate finance experience in debt and equity capital markets, including listings, capital raises and debt raises, private equity, including fund formation and conversion, mergers and acquisitions as well as numerous corporate actions, in the listed and unlisted environment including, acquisitions, disposals, delistings and schemes of arrangements.

Khaya Hlophe-Kunene

Khaya is a qualified chartered accountant. Prior to joining PSG Capital, Khaya was an executive at an early-stage fund management firm where he gained experience in deal origination, valuations, and capital raising locally and abroad. Khaya completed his SAICA articles at KPMG Johannesburg before working for a corporate finance advisory firm in San Francisco, USA.

Vera is an admitted attorney, notary public and conveyancer, as well as a JSE-approved equity and debt sponsor executive. Prior to joining PSG Capital over 10 years ago, Vera was part of the corporate commercial departments of two of South Africa’s top commercial law firms where she focused on mergers and acquisitions and other corporate transactions involving both listed and unlisted companies in a variety of sectors including retail, renewable energy, mining and pharmaceuticals.

Vera has extensive corporate finance experience and has advised on numerous listings, delistings, capital raisings and placements, rights offers, mergers and acquisitions, disposals, schemes of arrangements and other corporate transactions, in both the listed and unlisted space.

 

Terence Kretzmann

Terence has over 17 years of corporate finance experience and has previously served as the CFO of a JSE-listed company and as Head of Corporate Finance for an LSE premium-listed company. He has worked on successful capital raisings, restructurings, listings, de-listings, mergers and acquisitions, and private equity transactions in various industries, mainly across Africa, for both listed and unlisted companies.

Siyabonga is a qualified chartered accountant. Prior to joining PSG Capital, Siyabonga was part of the corporate finance team of one of South Africa’s leading banks where he gained experience executing both local and cross-border transactions across a variety of sectors. In addition to this, Siyabonga has experience in strategy, business management and leadership. Siyabonga completed his articles at Ernst & Young and has recently completed the Executive Development Programme at WITS Business School.

Logan Hufkie

Logan is an admitted attorney. Prior to joining PSG Capital, Logan worked in the corporate commercial department of one of South Africa’s top tier law firms where she focused on mergers and acquisitions of both listed and unlisted companies in a variety of sectors, including mining, hospitality, retirement villages and private equity.

Logan has extensive corporate finance experience and has advised on various transactions, in both the listed and unlisted environment, including listings, capital raises, private equity transactions, group restructurings, mergers and acquisitions as well as numerous corporate actions, including, acquisitions, disposals, schemes of arrangements and other fundamental transactions, unbundling transactions and delistings.

Johann is an admitted attorney, a JSE approved executive as well as a JSE-certified compliance officer and a fellow of the Corporate Governance Institute of South Africa. He has extensive experience in board- and corporate governance as well as in advising clients on the JSE continuing obligations. Prior to joining PSG Capital, Johann was part of an International legal consultancy where he focused on regulatory compliance, governance and commercial matters.

She has also worked on general corporate finance transactions where she gained experience across various industries.

Jaynisha is a JSE approved equity and debt sponsor executive. She has experience in both equity and debt sponsor services for companies listed on the main board and interest rate market of the JSE. Prior to joining PSG Capital, Jaynisha worked in the corporate finance division at one of South Africa’s leading banks where she managed the continuing obligations and corporate governance requirements for numerous high-profile companies across various industries. She has also been involved in several transactions in both the general corporate finance and M&A spheres during her tenure.

Thandiwe Nhlapho

Thandiwe is an admitted attorney. Prior to joining PSG Capital, she worked in corporate and commercial departments of top tier law firms where she specialised in M&A, equity capital markets and various corporate transactions for listed and unlisted companies across diverse sectors, including aviation, energy, financial services, minerals & resources and telecommunications — both locally and internationally.

Thandiwe was selected for an esteemed secondment programme in London as one of the most promising young lawyers from across the African continent in 2022. Furthermore, her commitment to professional excellence and leadership has been acknowledged through prestigious accolades, such as being named one of the Top 200 Young South Africans in 2023 by the Mail & Guardian and winning the Rising Star Awards (Professional Services) in the same year.

Calvin Craig

Calvin is a qualified chartered accountant. Prior to joining PSG Capital, Calvin formed part of a financial management consultancy which specialised in CFO and corporate finance solutions. He completed his SAICA articles at Deloitte in both Johannesburg and Cape Town, where he specialised in financial services audits.

Dale is a qualified chartered accountant. Prior to joining PSG Capital, Dale worked abroad in the United Kingdom focusing on financial services audits and the like. Dale completed his articles at KPMG Cape Town where he specialised in asset management and private equity audits.

James Moody

James is a qualified chartered accountant. Prior to joining PSG Capital, James was part of the corporate finance team at Mazars South Africa where he gained invaluable experience in, inter alia, valuations, fairness and fair and reasonable opinions and M&A transactions. Prior to this, James was an assistant manager at Deloitte LLP (London), managing various audits, including for large media clients. James completed his articles at Deloitte Johannesburg where he was exposed to a broad array of clients. James also completed his financial modelling and valuation analyst (FMVA®) course with the Corporate Finance Institute in 2020.

Prior to joining PSG Capital, Sibongakonke formed part of a globally recognised financial institution, which specialised in the valuation of unlisted investments and financial analytics across emerging and frontier markets. SK has extensive experience in valuing unlisted assets and evaluating debt instruments across a broad spectrum of industries throughout Africa. Sibongakonke completed his SAICA articles at RisCura during which time he was also nominated as one of SAICA’s top 10 trailblazers.

Mmakobela is a JSE approved executive. Prior to joining PSG Capital, Mmakobela worked in the sponsor division at a boutique corporate finance house where she managed the continuing obligations and corporate governance requirements for several high-profile companies across various industries, while also being involved in both general corporate finance and M&A transactions. Mmakobela recently completed the Women Leadership Executive Development Programme at the WITS Business School.

Konrad gained experience as an audit manager on a large-scale South African fund as well exposure to various divisions within the financial services division such as private equity, pension funds and venture capital funds.
